About Kailash Katkar

Kailash has done his matriculation. In 1985, to support his family, he joined a shop which does mobile and radio repairing for Rs 1,500 per month. While he was doing repair for mobile phones, he quickly learnt accounting and was helping his employer to take care of his accounts.

In 1990, he has set-up his own cell phone repairing shop for Rs 15,000. He managed to get Rs 45,000 turnover during first year. However, he was not satisfied with what he was doing. Software boom attracted him and he wanted to encash it. He joined short term course on computer hardware. He wanted to do computer repair and maintenance work by charging annual fee.

He started his first venture CAT computer services, but there was huge challenge in getting the customers. He kept on trying and finally got an order from 2 families for computer maintenance for Rs 2,000 each per annum. First corporate order was received from New India Assurance. The turnover was Rs 1 lakh in 1993-94 and there were 4 people working with him in this venture.

Turning point

Kailash brother Sanjay was studying as computer engineering in Pune. He was developing some software programs. Upon Kailash request, Sanjay developed an anti-virus programme which they named as “Quick Heal”. They sold this software for Rs 700 each to many vendors which was the least expensive solution during that time.

In 1999, company was in a bad shape and in the verge of shutting down. They wanted to see few more months before taking the decision. Some of the crucial decisions taken has improved the business. Slowly, the business again started picking up.

Soon, they opened branch at Nasik and other places. They started hiring employees to expand their business. They realized to diversify their product portfolio and moved beyond anti-virus solutions. They started developing from security and tuner solutions which focuses on computer speed to mobile security and gateway level products.

Expansion funding

US Private equity firm has funded Rs 60 Crore which helped in expansion of their products internationally.

Quick Heal Technology currently doing Rs 187 Crores turnover and having 500 employees. Their operation runs at 22 offices, catering for more than 60+ countries across the globe for 8 Mn customers.

This is true inspirational story for aspiring entrepreneurs. Moving from Rs 1,500 per month job to creating Rs 187 Crore Turnover Company is not a small achievement. We can imagine the amount of effort which would have went in to this success.

Step-by-Step procedure of registration of partnership firm in India

As per section 58 of Partnership Act, 1932, you can register a Partnership Firm in India. A partnership firm can register any time either during starting of its business operations or later.

1) Fill application form:

  • You can fill the application form (Form-1) which consists of:
  • Name of the firm which should not include any word which relates to Govt.
  • Place of business
  • Date of joining of other partners in the firm
  • Name of places where firm carries business
  • Names and full address of partners of the firm.
  • Duration of the firm

2) Application form duly filled should be signed by all partners of the firm

3) Application form along with below documents should be submitted for Registrar of Firms

  • Specified affidavit
  • Certified true copy of partnership deed
  • Ownership proof of the principal place of business

4) Registrar of firms verifies these documents and issues certificate of registration of partnership firm

What happens if a firm is not registered?

  1. A partner of an un-registered firm cannot file a suit in any court against the partnership firm or other partners of the firm for the enforcement of any right arising from a contract or right conferred by the Partnership Act unless the firm is registered and the person suing is or has been shown in the Register of Firms as a partner in the firm.
  2. No suits to enforce a right arising from a contract shall be instituted in any Court by or on behalf of a partnership firm against any third party unless the firm is registered and the persons suing are or have been shown in the Register of Firms as partners in the firm.
  3. An un-registered firm or any of its partners cannot claim a set off (i.e. mutual adjustment of debts owned by the disputant parties to one another) or other proceedings in a dispute with a third party.
  4. Hence, every partnership firm finds it advisable to get it registered sooner or later.

Exceptions for un-registered partnership firm

  1. The rights of third party to sue the partnership firm and/or its partners.
  2. The partnership firms or partners in the firms which have no place of business in the territories to which this Act extends, or whose places of business in the said territories are situated in areas to which the act does not apply.
  3. Any suit or claim or set-off not exceeding one hundred rupees in value which, in the Presidency-towns, is not of a kind specified in Section 19 of the Presidency Small Cause Courts Act, 1882 (15 of 1882), or outside the Presidency- towns, is not of a kind specified in the Second Schedule to the Provincial small Cause Courts Act, 1887 (9 of 1887), to any proceeding in execution or other proceeding incidental to or arising from any such suit or claim.
  4. The enforcement of any right to sue for the dissolution of a partnership firm or for accounts of a dissolved firm, or any right or power to realize the property of a dissolved firm.
  5. The powers of an official assignee, receiver or Court under the Presidency-towns Insolvency Act, 1909 (3 of 1909), or the Provincial Insolvency Act, 1920 (5 of 1920), to realize the property of an insolvent partner.
